Terms of Service

1. SERVICE DESCRIPTION CharterTrace, LLC is a B2B logistics verification platform that enables independent freight contractors, carriers, and commercial drivers ("Vendors" or "you") to earn compensation by providing location telemetry during active freight deliveries. 2. ELIGIBILITY You must be at least 18 years old at time of signup and legally authorized to operate as an independent contractor or commercial driver. By using the Service, you represent that you meet these requirements. 3. INDEPENDENT CONTRACTOR STATUS You acknowledge and agree that you are an independent business entity. Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between you and CharterTrace, LLC. 4. PAYMENT TERMS Payouts are earned upon successful completion of verified deliveries. Payouts are processed via Stripe. CharterTrace, LLC reserves the right to withhold payment in cases of misuse, fraud, and other suspected illegal activity including but not limited to GPS spoofing, broker impersonation, or failure to meet verification requirements. 5. ACCEPTABLE USE You agree not to: - Spoof, falsify, or manipulate GPS or location data - Use CharterTrace, LLC for any unlawful purpose - Attempt to reverse-engineer, decompile, or disassemble the CharterTrace, LCC Application - Interfere with or disrupt the integrity of CharterTrace, LLC - Maintain multiple account types within CharterTrace, LLC - Share your account credentials with third parties 6. ACCOUNT TERMINATION We reserve the right to suspend or terminate your account and wallet at any time for violation of these Terms, suspected fraud, or any other reason at our sole discretion. 7. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHARTERTRACE, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR REVENUE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. Our total liability for any claim arising from these Terms or the Service shall not exceed the total payouts paid to you in the 90 days preceding the claim. 8. DISCLAIMER OF WARRANTIES THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE UNINTERRUPTED, SECURE, OR ERROR-FREE OPERATION OF THE SERVICE. 9. INDEMNIFICATION You agree to indemnify and hold harmless CharterTrace, LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these Terms. 10. DISPUTE RESOLUTION Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the state of incorporation of CharterTrace, LLC. 11. GOVERNING LAW These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. 12. MODIFICATIONS We may update these Terms from time to time. Material changes will be communicated via in-app notification. Continued use of the Service after modifications constitutes acceptance of the updated Terms. 13. SEVERABILITY If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. 14.
